By accessing or using the services provided by Trinetra Ventures ("Company," "we," "us," or "our"), you ("User," "Client," or "you") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use our services.

These Terms constitute a legally binding agreement between you and Trinetra Ventures regarding your use of our government procurement, startup integration, and related services.

Trinetra Ventures provides specialized services including:

• Government Tender Supply & Fulfillment: Sourcing and delivery services for government procurement requirements
• Startup IP Integration: Connecting innovative startup solutions with government entities through strategic partnerships and MoUs
• Tender Documentation & Compliance Support: Expert assistance in navigating tender processes and ensuring regulatory compliance
• Strategic Product Sourcing: Procurement of high-quality products tailored to public sector demands
• Employment & Wealth Generation: Facilitating economic growth through local employment opportunities

All services are subject to availability, government regulations, and compliance with applicable laws.

When engaging with our services, you agree to:

• Provide accurate, complete, and current information
• Comply with all applicable laws, regulations, and government procurement guidelines
• Maintain the confidentiality of sensitive information shared during business interactions
• Use our services only for lawful and legitimate business purposes
• Respect intellectual property rights of all parties involved

For government procurement services:

• Compliance: All procurement activities will comply with relevant government rules, regulations, and tender conditions
• Transparency: We maintain complete transparency in our procurement processes and documentation
• Quality Assurance: Products and services will meet specified quality standards and delivery timelines
• Documentation: All required certificates, warranties, and compliance documents will be provided
• Modifications: Any changes to tender requirements must be communicated and agreed upon in writing

All intellectual property rights in our services, including but not limited to trademarks, copyrights, trade secrets, and proprietary information, remain the property of Trinetra Ventures or our respective licensors.

When facilitating startup IP integration:

• Startup intellectual property rights remain with the respective startup
• We act as facilitators and do not claim ownership of third-party IP
• All IP licensing agreements are subject to separate MoU terms
• Confidentiality of proprietary information is strictly maintained

We are committed to protecting your privacy and personal information. Our data practices include:

• Collection and use of information only for legitimate business purposes
• Implementation of appropriate security measures to protect data
• Compliance with applicable data protection laws and regulations
• No unauthorized sharing of confidential business information
• Secure storage and transmission of sensitive documents

To the maximum extent permitted by law:

• Our liability for any damages arising from our services is limited to the amount paid for those specific services
• We are not liable for indirect, incidental, special, or consequential damages
• We do not guarantee specific outcomes in tender processes as these depend on multiple factors beyond our control
• Our responsibility is limited to providing services with reasonable skill and care

This limitation does not affect any liability that cannot be excluded or limited under applicable law.

Payment terms for our services:

• Invoicing: Invoices will be issued according to agreed milestones or completion of services
• Payment Period: Payments are due within 30 days of invoice date unless otherwise agreed
• Taxes: All applicable taxes, including GST, will be added as per current rates
• Late Payments: Late payment charges may apply as per agreed terms
• Disputes: Payment disputes must be raised within 15 days of invoice receipt

Either party may terminate services:

• With 30 days written notice for convenience
• Immediately for material breach that remains uncured after 15 days written notice
• Immediately for insolvency, bankruptcy, or assignment for creditors
• As required by law or government directive

Upon termination, all outstanding payments become due, and both parties must return confidential information.

These Terms are governed by the laws of India. Any disputes arising from these Terms or our services will be subject to the exclusive jurisdiction of courts in Nashik, Maharashtra.

We encourage resolving disputes through good-faith negotiation before pursuing legal action.

We reserve the right to modify these Terms at any time. Significant changes will be communicated through:

• Email notification to registered clients
• Updates on our website
• Direct communication during active projects

Continued use of our services after modifications constitutes acceptance of the updated Terms.
